Accord Capital Partners LLC (“Accord” or “Company”) is registered with the Securities and Exchange Commission (SEC) as a broker-dealer and is a member of the Financial Industry Regulatory Authority (FINRA) and the Securities Investor Protection Corporation (“SIPC”). Brokerage and investment advisory services and fees differ, and it is important for you to understand the differences. Description of Services and Monitoring

For retail investors, our brokerage services are currently limited to engaging in private placements of securities and consulting services relating to the real estate sector. Securities are only offered to accredited retail investors and institutional clients.

Investment Authority

You, the retail investor, make the ultimate decision regarding the purchase or sale of investments. We do not exercise discretion on behalf of any investors. Your financial professional does not make securities recommendations to you nor do we solicit any securities transactions from you. We do not provide monitoring services for your investments in securities.

Limited Investment Offerings, Account Minimums and Other Requirements

Our services are limited to private placements in real estate investments sponsored by third parties and affiliates. The details of these relationships can be found in the respective private placement offering documents. Private placements may be subject to investment minimums, which are disclosed in the respective offering documents.

“What fees will I pay?”

Description of Principal Fees and Costs

For private funds, your investment will incur management and incentive fees. In addition, the fund sponsor may charge other fees as set forth and fully disclosed in the offering documents for the respective funds. As placement agent, Accord receives compensation directly from the issuer for the sale of interests in the private funds. The specific terms of the compensation arrangements are disclosed in the engagement letter for the respective funds.

 

Description of Other Fees and Costs

Accord receives placement agent fees in connections with the transactions we complete on your behalf. These fees vary with each investment. More detailed information about your fees and costs are included in the engagement letter for each respective fund.

You will pay fees and costs whether you make or lose money on your investments. Fees and costs will reduce the amount of money you make over time. Please make sure you understand what fees and costs you are paying.

When we provide you with a recommendation as your broker-dealer, we have to act in your best interest and not put our interest ahead of yours. At the same time, the way we make money creates some conflicts with your interests. You should understand and ask us about these conflicts because they can affect the recommendations we provide. As placement agent, we receive compensation for your investment in a private placement. Also, we offer investment in securities that are managed and/or co-managed by affiliated entities. These affiliates receive compensation for the services they provide which may involve sharing in the profits and losses of the entity in which you invest. You should understand the nature of this compensation and how it impacts your investment.
